Listed-share transactions and other capital markets activities are subject to a complex array of regulations in Japan, such as disclosure requirements, financial instruments business rules, takeover bid regulations, and insider trading prohibitions under the Financial Instruments and Exchange Act. These regulations encompass rules from exchanges and self-regulatory organizations, as well as trading practices. Given the broad discretion exercised by regulatory authorities and exchanges, careful consideration is necessary to ensure compliance.
