Mori Hamada regularly advises clients on a wide range of rescue financing transactions in Japan, from pre-DIP and DIP financing (early DIP financing), to later DIP and exit financing.

We are deeply involved from the initial stages of pre-DIP and DIP financing, handling everything from basic structuring to practical implementation. We consult and collaborate with government financial institutions to facilitate the financing of companies undergoing rehabilitation. Our experience also includes advising on numerous DIP finance projects, acting not only as advisor to the debtor (borrower), but also to financial institutions. Notably, our lawyers successfully arranged Japan’s first DIP financing through asset-based lending (ABL), thereby contributing to the establishment of new financing methods for small and medium-sized enterprises (SMEs) undergoing revitalization.

Our lawyers also use corporate value security interests, created under the Act on the Promotion of Cash-Flow Based Lending, to assist our clients with rescue financing.
