Our experience in private equity fund formation dates back to our representation in the creation of Japan’s very first venture capital fund in 1982. We advise private equity funds on all aspects of fund formation and operation, including investments, exits, tax planning and regulatory procedures.
We manage the formation and administration of funds with diverse strategies, including venture capital funds, buyout funds, distressed investments and special situation funds. We also handle specialized funds focusing on publicly traded shares, intellectual property and real estate. Our clients include general partners, management members and investors, encompassing Japanese and international governmental entities, institutional investors and corporations.

We keep abreast of the constantly evolving regulations, structures and vehicles used in private equity fund formation. Our expertise allows us to advise on current regulations and fund documentation and to negotiate effectively with all relevant parties, including investors and lenders.
Mori Hamada collaborates with governmental agencies in developing legislation relevant to private equity fund formation, often participating in research committees sponsored by the Japanese government.
